The Service is an auxiliary tool for mapping ESG interventions, stakeholder analysis, materiality analysis and calculation of estimated ESG key figures. The ESG key figures are calculated from your entered information. The Service thus provides a temperature measurement of your company's ESG key figures and is intended to be used as a tool for working with ESG data in small and medium-sized undertakings. These terms and conditions (hereinafter referred to as the "Terms") govern the access to and use of the Service.
The Service has been developed by the Danish Association of Managers and Executives (hereinafter referred to as “Lederne”), located at Vermlandsgade 65, DK-2300 Copenhagen S, Business Registration (“CVR”) number 37282146, in collaboration with Danske Bank A/S located at Bernstorffsgade 40, DK-1577 Copenhagen V, Business Registration (“CVR”) number 61126228 (hereinafter referred to as "Danske Bank”).
The Service is provided by Lederne and Danske Bank (hereinafter referred to as the “Providers") jointly.
By using the Service, you agree to the Terms. If you use the Service on behalf of a company/an organization, you agree to the Terms on behalf of the company/organization and guarantee that you are competent to bind the company/organization to the Terms. You may only use the Service in accordance with the Terms.
The Service will be continuously developed and updated, including new features will be added. In order to ensure optimal use of the Service, you will receive ongoing service messages about, among other things, the correct use, updates and new features of the Service via the provided email.

Thank you for using the ESG Profile (hereinafter referred to as the ”Service”).
Amendments
The terms will continue to be developed and changed over time as the Service is streamlined and more functions are added. The Providers may modify the Terms at any time and without prior notice. The providers may also remove content from the Service without prior notice. In case of material changes to the Terms of Use of the Service, you will be notified via the provided email with a 30-day notice. By continued use of the Service after the 30 days, you agree to the advised changes.
Your data and personal information
To create a user, enter contact details.
By using the Service, you provide data for the purpose of using the Service. You retain full ownership of your data.
When using the Service, you agree that the Providers use your specified data for:
- to operate and support the Service
- personalization to optimize your user experience
- anonymized analyses
- improving and developing the Service;
- exchange of anonymized data between the Providers for behaviour trends;
- marketing of anonymized analyses and behaviour trends;
To the extent that your data contains personal data, the Providers shall process them in accordance with “Lederne”’s Privacy Policy.
At “Lederne” we are data controllers for use of the Service, and questions relating to data can be addressed to the “Lederne” at medlemsservice@lederne.dk.

Liability
Responsibility for ESG key figures
You have full responsibility for the specified data, including that they are correct and that you have the necessary rights or permissions to use the data content. The Providers have no obligation to monitor compliance with the rights of any third party. The Providers shall not be responsible for the accuracy, completeness, appropriateness or legality of the data provided.
You are responsible for backup of the specified data yourself. In some cases, the Providers can help restore the data content that has been deleted or corrupted. The Providers are not liable for the report's result of ESG key figures, as the ESG Profile calculates an estimated result based on the information provided. Consequently, you are solely responsible for the data and results entered, as well as any use thereof for other purposes.
The Providers are not liable for direct or indirect losses as a result of the Service's calculation of incorrect ESG key figures.
Responsibility for the use of the Service in general
The Service may only be used for legal purposes. If the Providers become aware that your access to and use of the Service is illegally exercised, your access to the Service will be closed with immediate effect. In the event of illegal activities, you are obliged in every respect to indemnify the Providers in every respect.
The Providers are not liable for any direct or indirect loss or consequential damage caused by the use of the Service, including but not limited to (i) loss of goodwill, image, loss of profit, loss of production, (ii) loss resulting from the fact that the Service cannot be used as provided, loss resulting from the loss or breach of an agreement or similar with a third party, (iii) loss arising from interruptions, disruptions or changes to the services of the Providers or public networks deemed necessary for technical, maintenance and operational reasons or imposed by the authorities or (iv) loss or destruction of data or changes or damage to equipment/systems due to downtime or technical errors of the System.
The above shall not apply in the event that the Providers acted grossly negigently or intentionally.
Account security
The account allocated to you is personal and may only be accessed by you. You are responsible for securing the email that provides access to the Service, and you are responsible for ensuring that no third party gains access to the account.
You are responsible for any use or activity via the User's account, regardless of whether you have authorized such use or activity.
You can notify the Providers of unauthorized use of the account at medlemsservice@lederne.dk.
Multiple User Profiles per Company/Organization
The account allocated to you is personal but can be shared with one or more persons in your company/organization by having the respective individual create a user profile upon invitation from an existing user profile on the account. The account may only be accessed by the associated user profiles. You are responsible for securing the email that provides you access to the Service, and you are responsible for ensuring that no third party gains access to the account via your user profile.
You are responsible for any use or activity via the User's account, regardless of whether you have authorized such use or activity.
You can notify the Providers of unauthorized use of the account at medlemsservice@lederne.dk.
Deleting user account and data
Your user profile is deleted:
- when you delete your profile yourself
- not later than 1 month after your written request to the Providers for deletion at medlemsservice@lederne.dk.
- if your user profile has been inactive for more than 24 months.
Intellectual property rights
The Service, including materials and functions, is the protected property of the Providers. You are not entitled to copy, distribute or decompile the content or use the content in any other way than as integrated into or necessary for the use of the Service.
Termination
At any time and without justification, the Providers may decide to terminate the Service. The Providers will notify any termination of the Service by giving a two-week notice, unless the use of the Service is unlawful, see above. Termination does not allow for compensation or reimbursement from the Providers.
Choice of law and venue
The Terms are governed by Danish law and must be interpreted accordingly. Any dispute should be resolved by negotiation with a view to reaching an amicable settlement. If negotiations do not lead to a solution, each party may bring the dispute before the ordinary Danish courts, including the City Court of Copenhagen.
